Suqsphere Terms of Service & End User License Agreement (EULA)

These Terms of Service and End User License Agreement (together, the "Agreement") govern your access to and use of the Suqsphere website, mobile applications, and related services (the "Service"). Suqsphere ("Suqsphere," "we," "us," or "our") provides the Service.

User-generated content. The Service includes social features, a marketplace, messaging, and other areas where users may post or upload text, images, video, audio, listings, reviews, profiles, and other materials ("User Content" or "UGC"). Before you access, view, post, or interact with any UGC, you must agree to this Agreement. By creating an account, tapping accept in our apps, or otherwise using the Service, you confirm that you have read and agree to this Agreement, including the UGC and EULA provisions below.

If you do not agree, do not use the Service.

1. Eligibility and accounts

  • Age: You must be at least 13 years old to use the Service. If you are under the age of digital consent in your country or region, you represent that your parent or legal guardian has reviewed and agreed to this Agreement on your behalf.
  • Account security: You are responsible for safeguarding your password and for all activity under your account. Notify us promptly at support@suqsphere.com if you suspect unauthorized access.
  • Accurate information: You agree to provide accurate registration and profile information and to keep it updated where the Service allows.
  • Biometrics: Optional biometric login (e.g. fingerprint or face) is processed only on your device for convenience. We do not receive or store your raw biometric data on our servers.

2. End User License (software)

Subject to this Agreement, Suqsphere grants you a personal, non-exclusive, non-transferable, revocable, limited license to install and use our client software (including mobile apps) solely to access the Service for your own non-commercial use, unless we expressly allow otherwise. You may not reverse engineer, decompile, or attempt to extract source code except where mandatory law allows. We may suspend or terminate this license at any time if you breach this Agreement.

3. User-generated content (UGC): license, responsibility, and moderation

  • Your content: You retain ownership of intellectual property rights in User Content you create, subject to the license you grant us below.
  • License to Suqsphere: By submitting User Content, you grant Suqsphere a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify format (e.g. transcode or resize for display), publicly display, perform, distribute, and create limited technical copies as needed to operate, improve, secure, and promote the Service, and to enforce our policies.
  • Representations: You represent and warrant that you own or have the necessary rights to your User Content and that its submission and our use as described in this Agreement do not violate any third-party rights or applicable law.
  • No endorsement: UGC is provided by users. Suqsphere does not endorse any UGC. Views expressed by users are theirs alone.
  • Exposure to UGC: You may encounter content you find objectionable. You use UGC features at your own risk. We provide reporting and safety tools; we are not obligated to pre-screen all UGC.
  • Moderation and removal: We may review, remove, restrict, or refuse to display any UGC, and may suspend or terminate accounts, to protect users, comply with law, or enforce this Agreement, with or without notice where permitted by law.

4. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Harass, threaten, defame, discriminate against, or incite hatred or violence toward any person or group;
  • Share sexually explicit material involving minors, or exploit or endanger minors in any way;
  • Distribute malware, conduct phishing, or attempt unauthorized access to our systems or other users' accounts;
  • Infringe intellectual property, privacy, or publicity rights;
  • Spam, mislead users, manipulate metrics, or impersonate others or Suqsphere;
  • Scrape or collect data from the Service at scale without our prior written consent, except as allowed by a documented public API or robots policy;
  • Use the Service in any way that is fraudulent, harmful, or contrary to reasonable community standards for an ethical, respectful platform.

5. Marketplace and ethical commerce

5.1 Ethical and accurate listings

  • Sellers must describe products honestly, including origin, condition, certifications, and any special attributes (such as dietary, environmental, or ethical claims). Misleading or false claims may result in removal of listings or suspension of seller accounts.
  • Suqsphere may remove or restrict listings that violate this Agreement or applicable law.

5.2 Payments and fulfillment

  • Payment processors: Payments may be processed by third-party providers (e.g. Paystack, Stripe). Their terms and privacy notices apply to payment processing. We are not responsible for processor outages or errors outside our reasonable control.
  • Currency: Displayed prices and currencies depend on seller settings; your bank or card issuer may apply conversion or fees.
  • Fulfillment: Unless we state otherwise for a specific program, sellers are responsible for packaging, shipping, delivery, returns, and buyer communications for marketplace orders.

6. Intellectual property and copyright complaints

Suqsphere respects intellectual property rights. If you believe material on the Service infringes your copyright or other rights, contact us at support@suqsphere.com with:

  • Identification of the work or right claimed to be infringed;
  • Identification of the material on the Service (with URL or other locator) that you claim is infringing;
  • Your contact information;
  • A good-faith statement that the use is not authorized;
  • A statement, under penalty of perjury where applicable, that your notice is accurate and you are authorized to act on behalf of the rights holder.

We may remove or disable access to reported material and terminate repeat infringers where appropriate. This process is not a substitute for legal advice in your jurisdiction.

7. Privacy

Our Privacy Policy explains how we collect, use, and share personal data. By using the Service, you acknowledge that policy, which is incorporated into this Agreement by reference.

8. Disclaimers

THE SERVICE AND ALL CONTENT AND UGC ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUQSPHERE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUQSPHERE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE OR UGC. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO SUQSPHERE FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW (SUCH AS DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE REQUIRED).

10. Indemnification

You agree to defend, indemnify, and hold harmless Suqsphere and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your breach of this Agreement.

11. Changes to this Agreement

We may modify this Agreement from time to time. We will post the updated version on the Service (including this page) and may notify you through the app or by email where appropriate. Material changes will take effect after we provide reasonable notice or as required by law. Continued use after changes become effective constitutes acceptance unless applicable law requires a different process.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for conduct that we believe violates this Agreement, creates risk, or is harmful to others or the Service. Provisions that by their nature should survive (including licenses granted to us for UGC already distributed, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

13. Governing law and disputes

Unless mandatory local law requires otherwise, this Agreement is governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts in Nigeria have non-exclusive jurisdiction over disputes, subject to any consumer protections that apply where you live.
